1. Name of the Business Location
Pursuant to Article 16 of Decree No. 168/2025/ND-CP, the name of a business location shall comply with Article 40 of the Law on Enterprises as follows:
- The name of a branch, representative office, or business location must be written using letters of the Vietnamese alphabet, the letters F, J, Z, and W, numerals, and symbols.
- In addition to its Vietnamese name, a business location may register a foreign-language name and an abbreviated name.
- The proper name element of a business location must not contain the words “company” or “enterprise”.
- The name of the business location must be displayed or affixed at its registered address.
2. Can a Business Location Be Established in the Same Province or in a Different Province?
According to Clause 2, Article 30 of Decree No. 168/2025/ND-CP, a business location may be established in the same province or city as the enterprise’s head office or in a different province or city.
3. Scope of Business Lines of a Business Location
The business activities of a business location are dependent on and operate under the business lines of its parent company. The Certificate of Registration of a Business Location does not specify business lines.
4. Procedures for Establishing a Business Location
Within 10 days from the date of the decision to establish a business location, the enterprise must submit a notification dossier regarding the establishment of the business location to the provincial-level business registration authority where the business location is situated. The dossier includes a notification of the establishment of the business location.
Within 03 working days from receipt of a valid dossier, the provincial-level business registration authority shall update the information of the business location in the National Enterprise Registration Database.
Where requested by the enterprise, the provincial-level business registration authority shall issue a Certificate of Registration of the Business Location.
If the dossier is invalid, the provincial-level business registration authority shall notify the enterprise in writing of the contents that require amendment or supplementation.
