
During the course of operation, enterprises may need to amend or supplement their registered business lines to meet business demands, expand investment activities, or comply with changes in legal regulations and market conditions. Under Vietnamese law, the amendment of registered business lines is a mandatory administrative procedure that must be carried out with the competent business registration authority. Therefore, understanding the procedures, required documents, and legal conditions for amending registered business lines is essential to ensure lawful business operations and avoid potential administrative risks.
- Applicable cases
An enterprise that intends to supplement, amend, or remove any registered business lines is required to submit a notification dossier to the Provincial Business Registration Authority.
- Competent authority
The Provincial Business Registration Authority (Business Registration Office under the Department of Finance of the province or city where the enterprise’s head office is located)
- Procedures for amending registered business lines
Step 1: Preparation of dossier
The enterprise shall prepare one (01) set of documents, including:
- Notification of changes to enterprise registration contents (Form No. 12 – Appendix I issued together with Circular No. 68/2025/TT-BTC)
- A copy or the original of the Resolution or Decision on the changes of business lines, issued by:
- The company owner: For a single-member limited liability company
- The Board of Members: For a multi-member limited liability company or a partnership;
- The General Meeting of Shareholders: For a joint-stock company.
- Power of attorney (In cases the person having authority of the enterprise authorizes another organization or individual to carry out the procedure)
In accordance with applicable laws, an enterprise is required to notify the Business Registration Authority within ten (10) days from the date the change occurs (Photo: Internet).
Step 2: Submission of dossier
The enterprise may choose one of the following methods:
- Direct submission: Submission at The Provincial Business Registration Authority;
- Online submission: Submission via the National Business Registration Portal (https://dangkyquamang.dkkd.gov.vn/inf/default.aspx).
Step 3: Processing of dossier
Within three (03) working days from the date of receipt of the dossier, the Provincial Business Registration Authority shall:
- Examine the validity of the dossier;
- Assess compliance with market access conditions applicable to restricted or conditional business lines (for foreign investors);
- Update the enterprise’s registered business lines in the National Enterprise Registration Database;
If the dossier is invalid, the Provincial Business Registration Authority shall provide written notice specifying the required amendments or supplements.
If the enterprise requests, the Authority may issue a Certificate confirming the change of enterprise registration contents.
Notes:
- Enterprises must register business lines in accordance with Level-4 industry codes under the Vietnamese Standard Industrial Classification promulgated together with Decision No. 36/2025/QĐ-TTg.
- Enterprises granted an Enterprise Registration Certificate prior to November 15th, 2025 must update their registered business lines in accordance with the new classification codes when carrying out any changes.
- In the course of its operations, an enterprise may adjust registered business lines to align with its development strategy. In accordance with applicable laws, an enterprise is required to notify the Business Registration Authority within ten (10) days from the date the change occurs.
- Failure to comply with the prescribed procedures may subject the enterprise to administrative penalties of up to VND 30,000,000 and may expose the enterprise to legal risks in business operations.
